UK Stewardship Code

Under Rule 2.2.3R of the FCA's Conduct of Business Sourcebook, Landseer is required to include on this website a disclosure about the nature of its commitment to the UK Financial Reporting Council's Stewardship Code (the "Code") or, where it does not commit to the Code, its alternative investment strategy. The Code is a voluntary code and sets out a number of principles relating to engagement by investors with UK equity issuers.

The Code aims to enhance the quality of engagement between institutional investors and companies to help improve long-term returns to shareholders and the efficient exercise of governance responsibilities. It sets out good practice on engagement with investee companies and is to be applied by firms on a “comply or explain” basis. The Code is directed in the first instance to institutional investors with equity holdings in UK listed companies; The FRC recognises that not all parts of the Code will be relevant to all institutional investors and that smaller institutions may judge some of the principles and guidance to be disproportionate. It is of course legitimate for some asset managers not to engage with companies, depending on their investment strategy, and in such cases firms are required to explain why it is not appropriate to comply with a particular principle.

The seven principles of the Code are that institutional investors should:

1. Publicly disclose their policy on how they will discharge their stewardship responsibilities;

2. Have and publicly disclose a robust policy on managing conflicts of interest in relation to stewardship;

3. Monitor their investee companies;

4. Establish clear guidelines on when and how they will escalate their stewardship activities as a method of protecting and enhancing shareholder value;

5. Be willing to act collectively with other investors where appropriate;

6. Have a clear policy on voting and disclosure of voting activity; and

7. Report periodically on their stewardship and voting activities

Landseer is an alternative asset manager that invests in an equity Long/Short strategy. We do not adhere to the Code as we do not regularly meet with the management team of the companies we invest in and we do not seek to take an activist role in the management of the companies that we invest in.

Landseer is privately owned and, in the best interests of our clients, we do not seek to partners with other businesses or act jointly with any other investors. We are a standalone asset management business, and aside from asset management, we do not have any other income streams or other business lines that could conflict with our core business. In the spirt of Code, Landseer aims to be transparent with its business objectives and the way it reports it business activities to its shareholders. Landseer supports the aims of Principles of the Code despite not adhering to the Code.

Shareholder Rights Directive

Under SRDII, Landseer is required to disclose the PTR and PTC associated with certain funds. As SDRII is not prescriptive regarding disclosure location for these values, Landseer has chosen to publish these in the Annual Reports.

Professional Investor

In the United Kingdom, a Professional Investor is defined as:

A client that falls into any of the following categories (categories (1) to (5) being a per se professional client):

(1) an entity required to be authorised or regulated to operate in the financial markets, whether authorised in the UK or a third country:

(2) in relation to MiFID or equivalent third country business and for the purposes of the UK AIFMD Marketing Prohibition, a large undertaking meeting two of the following size requirements on a company basis:

(a) balance sheet total of EUR 20,000,000;

(b) net turnover of EUR 40,000,000;

(3) in relation to business that is not MiFID or equivalent third country business and otherwise than for the purposes of the UK AIFMD Marketing Prohibition, a large undertaking meeting any of the following conditions:

(a) a body corporate (including a limited liability partnership) which has (or any of whose holding companies or subsidiaries has) (or has had at any time during the previous two years) called up share capital or net assets of at least £5 million (or its equivalent in any other currency at the relevant time);

(b) an undertaking that meets (or any of whose holding companies or subsidiaries meets) two of the following tests:

(i) a balance sheet total of EUR 12,500,000;

(ii) a net turnover of EUR 25,000,000;

(iii) an average number of employees during the year of 250;

(c) a partnership or unincorporated association which has (or has had at any time during the previous two years) net assets of at least £5 million (or its equivalent in any other currency at the relevant time) and calculated in the case of a limited partnership without deducting loans owing to any of the partners;

(d) a trustee of a trust (other than an occupational pension scheme, SSAS, personal pension scheme or stakeholder pension scheme) which has (or has had at any time during the previous two years) assets of at least £10 million (or its equivalent in any other currency at the relevant time) calculated by aggregating the value of the cash and designated investments forming part of the trust's assets, but before deducting its liabilities; or

(e) a trustee of an occupational pension scheme or SSAS, or a trustee or operator of a personal pension scheme or stakeholder pension scheme where the scheme has (or has had at any time during the previous two years):(i) at least 50 members; and(ii) assets under management of at least £10 million (or its equivalent in any other currency at the relevant time);

(4) a national or regional government, including a public body that manages public debt at national or regional level, a central bank, an international or supranational institution (such as the World Bank, the IMF, the ECP, the EIB) or another similar international organisation;

(5) another institutional investor whose main activity is to invest in financial instruments (in relation to the firm's MiFID or equivalent third country business) or designated investments (in relation to the firm's other business). This includes entities dedicated to the securitisation of assets or other financing transactions;

(6) an elective professional client - i.e. a client, other than a local public authority or a municipality, that would otherwise be a retail client that has elected to be treated as a professional client in accordance with the criteria set out below:

(a) the Marketing Entity has undertaken an adequate assessment of the expertise, experience and knowledge of the client that gives reasonable assurance, in light of the nature of the transactions or services envisaged, that the client is capable of making his own investment decisions and understanding the risks involved (the "qualitative test");

(b) in relation to MiFID or equivalent third country business and for the purposes of the UK AIFMD Marketing Prohibition in the course of that assessment, at least two of the following criteria were satisfied:

(i) the client has carried out transactions, in significant size, on the relevant market at an average frequency of 10 per quarter over the previous four quarters;

(ii) the size of the client's financial instrument portfolio, defined as including cash deposits and financial instruments, exceeds EUR 500,000;

(iii) the client works or has worked in the financial sector for at least one year in a professional position, which requires knowledge of the transactions or services envisaged (the "quantitative test"); and

(i) the client has stated in writing to the Marketing Entity that it wishes to be treated as a professional client either generally or in respect of a particular service or transaction or type of

transaction or product;

(ii) the Marketing Entity has given the client a clear written warning of the protections and investor compensation rights the client may lose; and

(iii) the client has stated in writing, in a separate document from the contract, that it is aware of the consequences of losing such protection.
